WORLD HAPPINESS FELLOWSHIP

GLOBAL CITY LICENSE AGREEMENT

This Global City License Agreement (“Agreement”) is entered into as of __________ (“Effective Date”), by and between:

Knoxville Happiness Coalition, the parent organization of the World Happiness Fellowship, headquartered in Knoxville, Tennessee, United States, hereinafter referred to as the “Licensor,”

and

[Licensee Name], located in [City, Country], hereinafter referred to as the “Licensee.”

The Licensor is the owner and operator of the World Happiness Fellowship brand, intellectual property, branding assets, and official media channels.

The Licensee desires to host a city-based fellowship event and use the World Happiness Fellowship brand under the terms and conditions set forth in this Agreement.


1. PURPOSE OF AGREEMENT

The purpose of this Agreement is to grant the Licensee a limited, non-exclusive, non-transferable license to organize and promote a city-based World Happiness Fellowship event using the official brand, media assets, and logos.

This Agreement does not constitute a partnership, franchise, employment relationship, or joint venture between the Licensor and the Licensee.

The License grants permission only to use the brand under the conditions outlined herein.


2. BRAND OWNERSHIP

All trademarks, logos, visual assets, promotional materials, media, and branding related to the World Happiness Fellowship remain the exclusive intellectual property of the Licensor.

Licensee acknowledges that the following are owned solely by the Licensor:

  • The World Happiness Fellowship name
  • Associated logos
  • Media assets
  • Branding materials
  • Promotional graphics and templates

Licensee receives no ownership rights and may only use these materials according to the terms of this Agreement.


3. LICENSED USE OF BRAND

The Licensee may use the World Happiness Fellowship name in connection with a city-based event under the naming convention:

World Happiness Fellowship [City Name]

Examples include:

  • World Happiness Fellowship Doha
  • World Happiness Fellowship London
  • World Happiness Fellowship Toronto

4. LICENSE FEE AND PAYMENT TERMS

In consideration for the rights granted under this Agreement, the Licensee agrees to pay a one-time licensing fee of One Thousand Two Hundred United States Dollars (USD $1,200).

The license fee:

  • Is a one-time payment
  • Does not require annual renewal
  • Is non-refundable
  • Is non-transferable 
  • May be relinquished at anytime in writing to Alexia Georghiou 

The License becomes effective only after payment is received in full by the Licensor.

The license fee provides the Licensee with permission to:

  • Use the World Happiness Fellowship name
  • Use approved branding and media assets
  • Promote events under the fellowship designation

The license fee does not include:

  • Event funding
  • Marketing budgets
  • Operational support
  • Speaker fees
  • Venue costs
  • Insurance coverage

The Licensee remains fully responsible for all operational costs.

The license granted under this Agreement may not be transferred, sold, or sublicensed without written consent of the Licensor.


5. WEBSITE RESTRICTIONS

Licensees may not create independent websites using the World Happiness Fellowship brand.

All promotions must direct audiences to the official website:

www.worldhappinessfellowship.com

Licensees may promote events on their own websites only if:

  • Official brand assets remain unchanged
  • The official website is clearly referenced

6. MEDIA ASSET USAGE

Licensees must use official media assets without modification.

Prohibited alterations include:

  • Removing official design elements
  • Changing brand graphics
  • Replacing the Sunsphere landmark associated with Knoxville branding
  • Editing logos or visual identity

Licensees may add:

  • Their city name
  • Their organizational logo
  • Sponsor logos

7. SOCIAL MEDIA POLICY

Licensees may create city-based social media accounts.

Approved naming formats include:

  • World Happiness Fellowship Doha
  • @FellowshipHappyDoha

Social media may be used on platforms such as:

  • Instagram
  • Facebook
  • YouTube
  • Spotify
  • Bluesky
  • X

All posts must include the hashtag:

#fellowshiphappy

Whenever possible, tag:

@fellowshiphappy

Licensees are encouraged to repost official fellowship content.


8. VIDEO CONTENT POLICY

All event video recordings must be submitted to the Licensor prior to public distribution.

Videos must be sent to the founder of the World Happiness Fellowship:

Alexia Georghiou

The Licensor will determine whether the content will be published on official channels.

Only after official publication may the Licensee share the video publicly.


9. PHOTO SHARING POLICY

Photos from fellowship events may be shared freely.

All posts should include the official hashtag:

#fellowshiphappy


10. PODCASTS AND MEDIA INTERVIEWS

If the Licensee promotes an event through:

  • Podcasts
  • Television interviews
  • Radio interviews
  • News publications

The Licensee must provide the media link to the Licensor.

The Licensor may distribute the content through official social media channels and on platforms including Spotify.


11. EVENT REQUIREMENT

The Licensee agrees to plan and execute in good faith an in-person World Happiness Fellowship event within their city.

Events should promote themes including:

  • Happiness
  • Leadership
  • Cognitive performance
  • Community wellbeing

12. SPONSORS

Licensees may obtain sponsors to support their events.

Licensees are solely responsible for:

  • Negotiating sponsor agreements
  • Vetting sponsor organizations
  • Managing sponsor relationships

Sponsors must align with the mission and integrity of the fellowship.


13. INDEPENDENT OPERATION

Licensees operate independently and assume full responsibility for:

  • Venue selection
  • Speaker invitations
  • Sponsor agreements
  • Event planning
  • Insurance procurement
  • Financial management

14. LIABILITY DISCLAIMER

The Licensor and the Knoxville Happiness Coalition shall not be held liable for:

  • Event expenses
  • Financial losses
  • Contractual disputes
  • Venue agreements
  • Sponsor disputes
  • Legal claims
  • Personal injuries or damages

Licensees assume full responsibility for all operational and legal obligations.

Licensees are encouraged to obtain appropriate event insurance.


15. LICENSE LIMITATION

This Agreement grants only the right to use the World Happiness Fellowship brand.

It does not provide:

  • Financial support
  • Event funding
  • Operational oversight

16. TERMINATION

The Licensor may terminate this Agreement immediately if the Licensee:

  • Violates brand guidelines
  • Uses media assets improperly
  • Misrepresents the organization
  • Fails to uphold the fellowship mission

Upon termination, the Licensee must immediately cease all use of branding and intellectual property.


17. FOUNDER AUTHORITY

The founder of the World Happiness Fellowship, Alexia Georghiou, retains final authority over:

  • License approvals
  • Brand governance
  • Media distribution
  • Fellowship standards

18. GOVERNING LAW

This Agreement shall be governed by the laws of the State of Tennessee.

All disputes shall be resolved within the jurisdiction of courts located in:

Knoxville, Tennessee, United States.


19. ENTIRE AGREEMENT

This document constitutes the entire agreement between the Licensor and the Licensee.

Any amendments must be made in writing and approved by the Licensor.


Payment and License Termination
Payment for the license is due within five (5) business days of the date the contract is signed. For purposes of this agreement, “business days” means Monday through Friday, excluding federal and state holidays in Tennessee. If full payment is not received by the due date, the license granted under this agreement shall automatically terminate without further notice, and the licensee shall have no rights to use the licensed materials or services.
